Welcome, and thank you for choosing TurnStay , TurnStay is operated by The Tern Stay OU Estonia 16372318, including Ternstay LTD UK, The Tern Group Delaware and any other entities (hereinafter collectively referred to as “TurnStay “). TurnStay operates the TurnStay website at www.turnstay.com, along with related sites, networks, and applications (collectively referred to as the “Platform”), and provides various other services (collectively, with the Platform, our “Services”). These User Terms of Service (“Terms”) govern your use of our Platform.
Please Read Carefully:
By acknowledging this agreement, you confirm that you have read, understood, and consent to be bound by these Terms, including the TurnStay Privacy Policy and the Electronic Disclosure Notice and Consent (together referred to as “these Terms”). If you do not meet the eligibility criteria or disagree with any part of the Terms, you are not authorised to use the Platform.
Important Arbitration Agreement:
All disputes between you and TurnStay will be resolved through BINDING ARBITRATION. By agreeing to these Terms, you relinquish the right to go to court to assert or defend your rights, except for issues eligible for small claims court. Decisions will be made by a NEUTRAL ARBITRATOR, not a judge or jury, and you cannot bring claims as a class action. Please carefully review Section 19 (“Dispute Resolution and Arbitration”) for details about your agreement to arbitrate disputes with TurnStay .
The English language version of these Terms of Use will take precedence over versions in other languages. Documents in other languages are provided for convenience, and only the English version is official.
Overview of TurnStay Services:
TurnStay assists individuals and businesses in making local payments on a global scale. We enable businesses, educational institutions, healthcare facilities, and other billers to collect payments from individuals and companies worldwide.
Using the Platform:
General Use: TurnStay enables users to pay bills from various entities, acting as payment agents for each recipient (a “Designated Entity”). We collaborate with banks, licensed payment entities, foreign exchange providers, credit card processors, and other third parties (each a “Service Provider”) to receive and/or settle payments to a Designated Entity’s bank account.
Sanction Compliance: You acknowledge TurnStay ‘s compliance with sanctions laws, including restrictions on use by certain persons or countries. You represent and warrant that you are not located in or controlled by persons or entities in sanctioned areas or on any sanctions lists.
Eligibility:
You must be at least 18 years old to use the Platform. By agreeing to these Terms or notifying a Designated Entity of a payment through TurnStay , you confirm your age, that you haven’t been suspended from the Platform, and that your use complies with all applicable laws and regulations. If you’re using the Platform on behalf of an entity, you confirm your authority to bind such parties to these Terms.
User Accounts and Registration:
To access certain features, you may need to register for an account, providing accurate and up-to-date information. You are responsible for maintaining the confidentiality of your account and password and for all activities under your account.
Payments:
General: Transactions may involve fees, and TurnStay may charge higher fees for transactions requiring manual processing or incurring additional costs. Total Transaction amounts will include all applicable fees but not fees for refunds.
TurnStay ‘s Role: TurnStay acts as a third-party service provider for payment processing. We don’t determine payment amounts or terms; these are between you and the Designated Entity.
Payments to Designated Entities: You commit to the amount indicated during Transaction booking. If a payment fails, you must resubmit it.
Payment Instructions: Follow the instructions provided for bank transfers or direct debits. Do not pay to any account other than the one provided.
Credit/Debit Card Payments: TurnStay may enable card payments. Fees or charges will be disclosed before the Transaction and are non-refundable.
Representation and Warranty: You confirm the legal right to use all payment methods initiated through TurnStay .
User Content:
General: You may upload content (“User Content”) and are responsible for it. By posting User Content, you grant TurnStay a license to use it as described in these Terms.
License to User: TurnStay grants you a limited license to use the Platform and its content for personal or internal business use, subject to these Terms.
Content Representations and Warranties: You affirm ownership or rights to the User Content you post, ensuring it doesn’t infringe on any third-party rights or laws.
Content Disclaimer: TurnStay is not obligated to monitor User Content but may remove content violating these Terms.
Prohibited Conduct:
By using the Platform, you agree not to engage in illegal activities, violate third-party rights, post inappropriate content, interfere with the Platform’s security or operation, or engage in fraudulent activities.
Third-Party Services and Websites:
TurnStay may provide tools to export information to third-party services or contain links to third-party websites, over which we have no control.
Termination and Modification:
You may terminate your account at any time. TurnStay reserves the right to modify or discontinue the Platform or terminate your account under certain circumstances.
Privacy and Additional Terms:
Please refer to the TurnStay Privacy Policy for details on personal information handling. Additional terms, policies, rules, or guidelines may also apply to the Platform.
Modifications to Terms:
TurnStay reserves the right to change these Terms, with modifications effective upon publication. Disputes will be resolved under the Terms in effect at the time of the dispute.
Ownership and Rights:
TurnStay owns all rights to the Platform and its content, except as expressly authorised by TurnStay . Trademarks used on the Platform are property of their respective owners.
Feedback:
Any feedback provided can be used by TurnStay without any obligations.
Indemnification:
You will defend and indemnify TurnStay and its affiliates against claims arising from your use of the Platform or violation of these Terms or any law.
Disclaimers; No Warranties:
The Platform is provided “as is” without warranties of any kind. TurnStay is not liable for any interruptions, security issues, or errors on the Platform.
Limitation of Liability:
TurnStay ‘s liability is limited to the greater of the amount paid for the Platform in the last 12 months or 150 Euros, except where prohibited by law.
Governing Law:
These Terms are governed by the laws of Estonia.
General Provisions:
These Terms, along with the Privacy Policy and other incorporated agreements, constitute the entire agreement between you and TurnStay . These Terms are subject to change only by a written agreement signed by both parties.
Dispute Resolution and Arbitration:
Disputes will be resolved by arbitration under the rules of the American Arbitration Association. This includes waiving the right to participate in a class action.
Force Majeure:
TurnStay is not liable for failures or delays due to events beyond its control.
